1. Listing Tiers and fees

1.1 Each Space is listed and charged separately. The Host chooses one Listing Tier for each Space.

1.2 The Listing Tiers and Annual Fees at the date of these terms are:

Listing TierAnnual FeeWho it is for
IndieFreeSmall independent coffee shops with one site, approved by SWURF
Essential£95 + VATAny Host
Featured£395 + VATAny Host
Premium£650 + VATApproved Hosts only, limited to 12 per city

1.3 What each Listing Tier includes is described on swurf.co at the time of sign-up. SWURF may improve or adjust the features of a Listing Tier, provided the overall value of the Host's Listing is not materially reduced during the Minimum Term.

1.4 All fees are shown net of VAT, which is charged at the standard rate.

1.5 Prices are subject to change. SWURF may change its Annual Fees and add-on prices from time to time. Any change to the Annual Fee for an existing Listing will take effect from the start of the next Subscription Year, and SWURF will give the Host at least 30 days' written notice before it applies.

1.6 Add-ons such as influencer collaborations and newsletter features are charged separately at the price agreed at the time of booking.

2. Minimum Term and renewal

2.1 Every Listing, including free Indie Listings, has a Minimum Term of 24 months.

2.2 The Annual Fee is charged for each Subscription Year of the Minimum Term. Committing to a Listing means committing to both years of the Minimum Term.

2.3 At the end of the Minimum Term, the Listing renews automatically for further periods of 12 months unless the Host gives notice under clause 6.

2.4 Renewal fees are charged using the Host's original payment method, unless agreed otherwise in writing.

3. Payment and late payment

3.1 The first Annual Fee is paid at sign-up, by card through SWURF's online payment link (Stripe), by invoice, or by another method SWURF offers at the time. Paying at sign-up secures the Listing, but the first Subscription Year does not start until the Listing goes live and then runs for 12 months from that date. Later Annual Fees are paid in advance at the start of each Subscription Year.

3.2 Invoices are payable within 30 days of the invoice date.

3.3 Where payment is by card, the Host is responsible for keeping card details up to date so renewal payments can be taken.

3.4 If a payment is late, SWURF may pause the Listing until full payment is received. SWURF is not responsible for any loss caused by a Listing being paused for non-payment.

3.5 Late payment interest. Any amount still unpaid 60 days after it was due will be charged interest at 5% per year. Interest runs daily from day 60 until the amount is paid in full.

3.6 If a Host stops paying during the Minimum Term, the Annual Fees for the rest of the Minimum Term remain payable.

4. Indie and Premium approval

4.1 Indie and Premium Listings are subject to approval by SWURF. Hosts apply for these tiers by entering the code INDIE or PREMIUM when signing up.

4.2 Indie is available only to small independent coffee shops with a single site. Chains, groups, hotels, bars and restaurants are not eligible. Indie places are limited in each city, and SWURF may decline an application at its discretion.

4.3 Premium is limited to 12 Hosts per city. Each Premium Host is allocated a month in the SWURF city calendar for its coworking event, influencer collaboration and newsletter takeover. Places are allocated in the order applications are approved.

4.4 An Indie or Premium Listing is only confirmed once SWURF has approved it in writing. The Minimum Term starts when the Listing goes live.

4.5 If SWURF finds that an Indie Host no longer meets the eligibility criteria, SWURF may move the Listing to the Essential tier from the next Subscription Year, with 30 days' notice.

5. Upgrades and changes

5.1 A Host may move up to a higher Listing Tier at any time, subject to availability for Premium. The upgrade starts on the day it is confirmed, with a new contract at the new tier's Annual Fee. Any unused part of the Annual Fee already paid for the old tier will be credited against the first year of the new contract.

5.2 A Host may move down to a lower Listing Tier only from the start of a Subscription Year that falls after the end of the Minimum Term.

5.3 An upgrade starts a new 24 month Minimum Term from the upgrade date, and the Subscription Year renewal date moves to the anniversary of the upgrade.

6. Cancellation

6.1 Cooling off. A Host may cancel a new Listing within 7 days of it going live and receive a full refund of any fee paid.

6.2 During the Minimum Term. After the 7 day cooling-off period, a Host may ask for its Listing to be removed from the Platform at any time, but the Annual Fees for the rest of the Minimum Term remain payable. Fees already paid are not refunded.

6.3 After the Minimum Term. A Host may cancel by giving written notice at least 14 days before the next renewal date. The Listing stays live until the end of the current Subscription Year.

6.4 Cancellations must be sent in writing to hello@swurf.co.

6.5 A change of ownership or management at the Space does not end the Minimum Term. Clause 14 (Ownership of the Host) continues to apply.

6.6 If SWURF cancels a Listing under clause 10 (Host Manifesto) or for a serious breach of these terms, no refund is due. If SWURF cancels for any other reason, it will refund the unused part of the current Subscription Year's fee.

6.7 Removal for non-cooperation or complaints. SWURF may remove a Listing from the Platform without refund, and the Annual Fees for the rest of the Minimum Term remain payable, if:

  • the Host does not cooperate with SWURF, for example by not honouring its Swurfer Perk, not providing the details SWURF needs to keep the Listing accurate, or not working with SWURF on agreed events or collaborations; or
  • SWURF receives complaints from Users about the Space or the way Users are treated there, and the Host does not resolve them to SWURF's reasonable satisfaction.

SWURF will normally contact the Host and give it a chance to put things right before removing a Listing, unless the complaint is serious.

7. Host commitments

7.1 Swurfer Perk. Indie, Featured and Premium Hosts must offer a Swurfer Perk for the whole Minimum Term. Premium Hosts must offer a perk that is exclusive to SWURF. Essential Hosts are encouraged to offer one.

7.2 The Host may change its Swurfer Perk by giving SWURF 14 days' notice, provided the new perk is of similar value.

7.3 Listing details. The Host will give SWURF accurate details for its Listing, including opening hours, facilities and photos, and will tell SWURF promptly when anything changes. SWURF builds and updates Listings on the Host's behalf using these details.

7.4 Window Decal. Featured and Premium Hosts will display the SWURF Host Window Decal in a visible position at the Space for the length of their Listing, and will remove it if the Listing ends.

7.5 Content. The Host gives SWURF permission to use its name, logo, photos and Instagram handle to promote the Listing on the Platform, swurf.co, SWURF social media and newsletters for the length of the Listing.

7.6 Events and collaborations. Premium Hosts will work with SWURF in good faith to schedule their coworking event and influencer collaboration in their allocated month.

7.7 Marketing and promotion. Every Host agrees to work with SWURF on marketing opportunities and to promote SWURF for the length of its Listing. This includes telling customers the Space is on SWURF, sharing or tagging SWURF on its own social media and channels, and taking part in reasonable marketing activity SWURF arranges, such as photos, features or campaigns.

8. Listings

8.1 Hosts are responsible for all details provided for their Listings and agree that these are a true and accurate representation of each Space.

9. Swurfer Perks and promotions

9.1 SWURF accepts no responsibility or liability for the success of perks or promotions shown on the Platform.

9.2 Where a perk or promotion is offered, the Host is responsible for making sure its terms are clear and valid, and promises to deliver it unless it cannot do so for good reason.

9.3 The Host will make sure its staff are familiar with SWURF and any active perk or promotion.

9.4 Promotional codes are valid only in line with the terms of that promotion. SWURF may withdraw or refuse a promotion at any time.

10. Host Manifesto

10.1 The Host agrees to the core values in the SWURF Host Manifesto and will make sure its staff deliver them as a minimum customer service standard. A SWURF Host:

  • is already a friend
  • is happy to see you
  • will make you feel at home
  • will let you work freely

10.2 The Platform connects Users to Hosts. SWURF accepts no responsibility or liability for any damage caused by a User to a Host or by a Host to a User.

10.3 SWURF does not act as an agent or authority of any kind for Hosts listed on the Platform.

10.4 SWURF may carry out unannounced visits to check these terms are being followed, in particular the Host Manifesto.

11. Health and safety

11.1 For every Listing, the Host confirms to SWURF that:

  • the Space, services and facilities are safe, clean, in full working order and comply with all applicable laws, regulations and codes of practice; and
  • all consents, licences and permissions required by law have been obtained and stay in force for the length of the Listing. The Host will provide copies to SWURF on request.

11.2 On request, the Host will allow SWURF representatives to inspect the facilities and the documents relevant to this clause.

11.3 As a minimum, every Host must:

  • hold a current, valid public liability insurance policy;
  • comply with local health and safety legislation;
  • have a working fire alarm that gives a clear warning in the event of a fire, ideally with integrated smoke detection; and
  • keep all escape routes clear at all times, with final exit doors unlocked during opening hours.

12. Insurance

12.1 The Host confirms it has comprehensive insurance in place to cover all third party (public liability) risks, including death, personal injury and illness, for guests, employees, representatives and agents using its facilities.

12.2 The Host's insurance must also cover any damages, expenses, losses, fines and costs (including legal costs) that the Host or SWURF incurs as a result of any act, omission or default of the Host, its staff, suppliers, sub-contractors or agents, or any breach of these terms by the Host.

12.3 The Host will supply copies of its insurance policies and proof of payment to SWURF on request, and will tell SWURF straight away if any policy lapses.

13. Complaints

13.1 The Host will deal sympathetically with all User complaints and requests and will work with SWURF to settle them fairly. If the Host does not meet any of these terms and SWURF has to make a refund or payment to a User as a result, the Host will reimburse SWURF on request, with proof of payment if asked.

14. Ownership of the Host

14.1 If any Space listed by the Host is sold, leased or otherwise disposed of, the Host will make sure these terms are honoured for the rest of the Minimum Term.

15. Confidentiality

15.1 Except where required by law or agreed by both parties, neither party will disclose confidential information to any third party, including the terms of this agreement, financial and sales information, marketing plans and customer details.

16. Governing law

16.1 These terms are governed by Scots law, and the parties submit to the exclusive jurisdiction of the Scottish courts. SWURF may also take proceedings in any jurisdiction where the Host has its place of business or assets.

17. Liability

17.1 SWURF's liability under these terms is limited to the Annual Fees the Host has paid since the start of its Listing.

17.2 SWURF is not responsible for any indirect, special or consequential loss, including loss of profit or loss of business.

17.3 Nothing in these terms excludes or limits either party's liability for death or personal injury caused by negligence.

17.4 When a User visits a Space, the legal relationship is between the Host and the User. SWURF is not responsible or liable for any act or omission of either.
